These Terms of Service ("Terms") govern your access to and use of ProposalBench ("Service", "we", "us", or "our"), operated by ProposalBench. By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Service Description

ProposalBench is an AI-powered proposal generation platform for service professionals. The Service allows users to create, edit, share, and download professional proposals using artificial intelligence to generate narrative content based on user-provided inputs.

2. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Service. By using the Service, you represent and warrant that you meet these requirements.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

"User Content" means any data, text, images, or other materials you submit to the Service, including but not limited to proposal details, client information, company profiles, logos, and form inputs.

Ownership: You retain ownership of your User Content. By submitting User Content to the Service, you grant ProposalBench a worldwide, non-exclusive, royalty-free, sublicensable license to use, store, process, reproduce, and display your User Content solely for the purpose of operating, improving, and providing the Service.

Responsibility: You are solely responsible for the accuracy, legality, and appropriateness of your User Content. ProposalBench does not verify the accuracy of information in proposals and is not liable for any errors, omissions, or misrepresentations in User Content.

The Service uses artificial intelligence to generate proposal narrative content based on your inputs. You acknowledge and agree that:

We may collect, aggregate, anonymize, and analyze data derived from your use of the Service ("Aggregated Data") for any lawful business purpose, including but not limited to:

Aggregated Data will be de-identified such that it cannot reasonably be used to identify you, your clients, or any specific individual. We will not sell or share your personally identifiable information or raw User Content with third parties for their direct marketing purposes without your explicit consent.

8. Proposal Acceptance and Legal Disclaimers

The proposal acceptance feature provided by the Service is a record-keeping tool only. It does not constitute a legally binding contract, electronic signature, or agreement under the ESIGN Act, UETA, or any similar legislation. Users requiring legally binding agreements should use appropriate legal instruments and consult with qualified legal counsel.

9. Payment Terms

Certain features of the Service require payment. By purchasing credits or subscribing to a paid plan, you agree to pay all applicable fees. Payments are processed by Stripe and subject to Stripe's terms of service.

10. Free Tier and Promotional Credits

We may offer free proposals, promotional credits, or referral bonuses at our discretion. We reserve the right to modify, limit, or discontinue these offerings at any time without prior notice. Free and promotional credits have no cash value.

11. Intellectual Property

The Service, including its software, design, features, and content (excluding User Content), is owned by ProposalBench and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works of the Service without our prior written consent.

12. Third-Party Services

The Service integrates with third-party services including Clerk (authentication), Stripe (payments), and AI providers. Your use of these services is subject to their respective terms and privacy policies. We are not responsible for the availability, accuracy, or conduct of any third-party service.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PROPOSALBENCH AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

14. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

15. Indemnification

You agree to indemnify, defend, and hold harmless ProposalBench and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your User Content, or your violation of these Terms.

16. Termination

We may suspend or terminate your account at any time for any reason, including violation of these Terms. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination shall survive, including Sections 5, 7, 11, 13, 14, and 15.

17. Modifications

We reserve the right to modify these Terms at any time. We will notify users of material changes via email or through the Service. Your continued use of the Service after such notification constitutes acceptance of the modified Terms.

18. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Delaware.
